Terms and Conditions for the looseheadz Partner Programme

Thank you for volunteering as part of our partnership programme (“Programme”) and nominating yourself as the mental health champion (“LooseHead”) for your club.

By signing up to be the LooseHead for your club, you agree to follow these terms and conditions, so please read them carefully.

If you do not agree to any of the terms and conditions, you should not sign up as part of our Programme.

  1. Introduction

 

  • The Programme is operated by LooseHeadz Limited, a company registered in England with company number 11000529 and registered office located at 6 Stockton Road, Wilmslow, England, SK9 6EU. (“LHZ”).

 

  • The Programme is designed to provide support for clubs and its nominated LooseHead with information, materials and resources (“Materials”) to raise awareness about mental health.

 

  • LHZ is not a qualified medical practice and neither does it nor its officers, employees, affiliates or agents hold itself, or themselves, out to be a qualified medical practice, doctors, physicians, nurses, or any other medical practitioner (“Medical Practitioner”) or psychiatrist, psychologist, therapist, counsellor, or social worker (“Mental Health Provider”).

 

  • Any Materials provided by LHZ, including via the Programme, are for education and information purposes only. Such Materials are not intended to be, nor should be used or construed as a substitute for professional medical advice, diagnosis or treatment provided by a qualified Medical Practitioner and/or Mental Health Provider. LHZ makes no warranties or representations that such Materials are free from any errors or omissions.

  1. Application and Verification

 

  • Once your ‘LooseHead’ application is received, LHZ will acknowledge its receipt and verify it with your club (or your club’s chair) to seek approval of your application as the club’s nominated LooseHead.

 

  • You are not appointed, nor will you claim yourself as being appointed, as your club’s LooseHead unless and until your appointment is confirmed in writing by your club and upon completion of all necessary background checks and approvals.

 

  • As part of the ‘LooseHead’ application process, you agree that LHZ may (a) request further documentation to verify your identity; and (b) contact your club to verify your application as the club’s nominated LooseHead.

 

  • You also agree that LHZ or its approved affiliates have the right, but not the obligation, to undertake further background checks (including DBS checks) on you to assess your suitability for the role as the nominated LooseHead, and you give your consent for such checks to be undertaken.

 

  • You understand that your application may be rejected at any time and for any reason by LHZ at its, or by your club at their, sole discretion.

 

  1. Roles and Responsibilities

 

  • In consideration of the Materials and related services provided by LHZ to you and your club, as the nominated LooseHead for your club, you agree to:

 

  • undertake training for your role as a LooseHead, which shall be provided by LHZ or its authorised affiliates;
  • promote mental health awareness within the club;
  • provide and administer Materials provided by LHZ to your club and its members; and
  • act as a point of contact for your club in relation to mental-health related queries.

 

  • In your role as a LooseHead, you may meet persons that are vulnerable, are dealing with significant complications in life and/or are suffering from medical and/or mental health issues. You agree that any information you receive from, or that is imparted to you by, such persons must be treated with the utmost sensitivity and confidentiality in accordance with clause 9.

 

  • You acknowledge that not all mental health issues will have visible signs. Accordingly, you agree that any interactions you have with individuals will be with all due care, diligence, dignity and respect. You must not attempt to diagnose any issues yourself or otherwise make assumptions about any individuals who may contact you or whom you have interactions with.

 

  • Subject to clauses 3.6 and 3.7, you must, at all relevant times, disclose that you are not a qualified Medical Practitioner or Mental Health Provider.

 

  • You warrant and represent that you will not, at any time:

 

  • hold yourself out as, or imply that you are, a Medical Practitioner or Mental Health Provider;
  • express or imply that you have qualified medical or training;
  • provide medical advice or treatment.

 

  • If you are a registered Medical Practitioner or Mental Health Provider authorised and licensed to practice in the UK by the relevant regulatory authorities, you must not, nor attempt to, diagnose or treat any individuals in your role as a LooseHead.

 

  • You must direct any individual who is, or individuals who are, seeking medical advice (including for mental health) to appropriate Medical Practitioners and/or Mental Health Providers.

 

  1. Contact Form and Display

 

  • By becoming a LooseHead, you will have the option to have your name displayed on LHZ’s webpage and/or your relevant club’s page as the mental health lead for that club.

 

  • Whether or not you opt-in to display your name, you consent to being contactable via a web form provided on LHZ’s website and/or on the relevant club’s website.

 

  • You may receive communications from such contact webforms from your club’s members. If you chose to respond to such messages, your personal information (such as your email address) may be displayed on such responses. Please consider using a separate email address if you do not wish to share any personal email address for any contemplated correspondence during your role as a LooseHead.

 

  1. Safeguarding

 

  • You warrant and represent that your club has and maintains appropriate safeguarding policies to protect children, young people and vulnerable adults who participate in or receive any related services from the club from harm. You also warrant and represent that you shall comply with all such applicable policies and procedures during your time as the nominated LooseHead at your club.

 

  • You will ensure that you will attend all relevant safeguarding training in your role as a LooseHead in safeguarding children, young people and/or vulnerable adults and recognising whether such persons are potentially in need of safeguarding, and you will ensure that you will take the appropriate actions as stipulated in any applicable policies and procedures in place and made available by your club from time to time, including training on how to report a safeguarding issue.

 

  1. Warranties and Representations

 

  • You warrant and represent that you:

 

  • are at least 18 years of age and that you have the authority and appropriate consents and permissions by your club to become your club’s nominated LooseHead;

 

  • have not been convicted of any criminal offences in the United Kingdom or elsewhere and that you are not currently under investigation or facing any charges for any criminal offences in the UK or elsewhere;

 

  • will perform your role and responsibilities as set out in these terms and conditions with due care and diligence;

 

  • will not provide or attempt to provide any medical advice, diagnosis or treatments and you will direct any individual who is seeking such advice, diagnosis or treatment to the appropriate Medical Practitioner and/or Medical Health Provider;

 

  • will immediately notify LHZ and your club to the extent that you breached your obligations under these terms and conditions;

 

  • any information you provide to LHZ, your club and/or any individual in relation to or connected with your role as a LooseHead is true and accurate; and

 

  • will maintain the Confidential Information confidential in accordance with clause 9.

 

  1. Indemnities

 

You agree to indemnify, defend, and hold harmless the LHZ, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, actions, suits, proceedings, losses, liabilities, damages, costs and expenses (including reasonable legal fees and court costs) arising out of or related to: (i) any breach of these terms and conditions by you; (ii) any negligent, reckless, or intentional acts or omissions by you in your performance of your duties as a LooseHead; (iii) any violation of applicable laws, regulations, or third-party rights by you; and/or (iv) any unauthorised disclosure or use of Confidential Information (as defined in these terms and conditions) by you.

 

  1. Liability

 

  • By signing up to our Programme, you agree that LHZ is not liable to you for any losses that you or any other person may incur from (i) the misuse of the information, products or materials that you request or receive through the Programme; (ii) any business loss (including loss of profits, revenue, contracts, anticipated savings, data, loss of goodwill, or wasted expenditure), or (iii) any indirect or consequential losses that were not reasonably foreseeable to both you and us at the time you signed up to the Programme.

 

  • Nothing in these terms and conditions limits or excludes our responsibility for fraudulent representations made by us or for death or personal injury caused by our negligence or willful misconduct.

 

  1. Confidential Information

 

  • Confidentiality is an integral part of the terms and conditions for signing up as a LooseHead as part of the Programme. You commit to maintaining the confidentiality of all sensitive information encountered during your tenure as a LooseHead.

 

  • For the purposes of this clause 9, “Confidential Information” includes, but is not limited to: (i) personal information of club members, including names, contact details, mental health status and any other personal data shared in confidence; (ii) any non-public information related to LHZ’s operations, strategies, plans, or internal processes; (iii) any other information that is designated as confidential by LHZ, or your club, or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

 

  • You agree not to disclose any Confidential Information to any third party without the express written consent of the individual or entity concerned or as required by law.

 

  • You agree to use Confidential Information solely for the purpose of fulfilling your role as a LooseHead and not for any other purpose.

 

  • You must take all reasonable measures to protect the confidentiality of the information, including but not limited to secure storage and restricted access.

 

  • If you are in possession of information which might be deemed Confidential Information but have reasonable belief that maintaining such information confidential may result in a threat to life (including suicide) you must escalate the matter immediately with the appropriate persons at your club with due regard to maintaining confidentiality as appropriate.

 

  • The obligations of confidentiality do not apply to information that:

 

  • is or becomes publicly available through no fault of your own;
  • Is rightfully received from a third party without breach of any confidentiality obligation;
  • is required to be disclosed by law, regulation, or court order.

 

  1. Ending your role as a LooseHead

 

  • You can resign from your role as a LooseHead at your club at any time. To do so, you must write to us and your club and let us know that you no longer wish to be the LooseHead. Subject to clause 10.3. your role and responsibilities as a LooseHead will end effective on the resignation date you have communicated to us or your club.

 

  • We may also terminate your role as a LooseHead at any time and if you have breached any of these terms and conditions, and without notice.

 

  • On termination of your role as a LooseHead, you will not be responsible for undertaking any related LooseHead responsibilities under these terms and conditions going forward except that clauses 6.1.4, 6.1.7, 7, 8, 9 and 11 shall continue to apply.

 

  1. Governing Law

 

These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales and the courts of England shall have exclusive jurisdiction.

 

  1. Acceptance & Acknowledgement

 

By signing up as a LooseHead, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
